The ISDSF is a public foundation designated by the IRS as a 501 c 3 charitable organization. As the philanthropic extension of the Illinois State Dental Society we enhance the health of Illinois families by securing contributions and providing grants for community programs and scholarships for dental students and to support Illinois’ dental schools. We’re committed to improving the oral health of children, families and individuals throughout Illinois and support initiatives that expand access to care and increase dental health education and awareness. We’re dedicated to enhancing the dental professional through special programs and services benefiting Illinois dental students and dentists.

Officers and members of the Board of Directors and members of Standing Advisory Committees of the Illinois State Dental Society Foundation (Foundation) must conduct their personal affairs in such a manner as to avoid any possible conflict of interest with their duties and responsibility as Officers, Directors or Committee Members of the Foundation.
Any duality of interest on the part of any Officer or Director shall be disclosed to the Board of Directors when the interest becomes a matter of Officer or Director action.
Any Officer or Director having a duality of interest shall not vote, use his or her personal influence or debate the matter, and he or she shall not be counted in determining the quorum for the meeting at the time of the vote. The minutes of the meeting shall reflect that a disclosure was made, the abstention from debate and voting and the quorum situation. A like standard shall apply to members of all Standing and Advisory Committees of the Foundation.
All new Directors, Officers, and Committee Members shall be advised of this policy upon entering the duties of the office.
Specific Application of General Policy
Duality of Interest: “Duality of Interest” means that (1) the Officer, Director or Committee Member (or his or her spouse) is an officer or director of another organization that has a position which either supports or opposes the position being considered by the Board of Directors or the Committee or (2) that the Officer, Director or Committee Member has a financial interest in the matter being considered.
Financial Interest: “Financial Interest” for this purpose shall mean any position as owner, officer, board member, partner, employee, or other beneficiary. A possible conflict of interest arises when an Officer, Director or Committee member holds a financial interest in or will receive any personal benefit from the business firm furnishing services, materials or supplies to the Foundation. Assuming that the amount of business done by the Foundation with any publicly held company has virtually no effect on the total results of such a company, “financial interest” shall not include the ownership of shares in a publicly held corporation.
Use of Foundation Services, Property or Facilities: Another area of potential conflict involves the personal use of Foundation services or facilities. When an Officer, Director, or Committee Member seeks personal staff assistance or the personal use of Foundation property or facilities he or she should not expect that such assistance will be rendered to an extent greater than that available to a member of the Foundation in similar circumstances or with similar needs. To the extent that extraordinary assistance is provided, there should be a clear understanding of how this assistance will benefit the Foundation.
Privileged Information: An Officer, Director or Committee member must never use information received while serving the society if the personal use of such information would be detrimental in any way to the Foundation. Any actions that might impair the reputation of the Foundation must also be avoided.
